Terms of Service

1. Provider and service

These Terms apply to SOFTNEST, provided by SALA Labs, operated by Francesco Sala, Temporary pre-launch information — registered address to be confirmed, VAT/tax number Pending — to be replaced before accepting paid subscriptions. The address and tax details are temporary pre-launch information. SOFTNEST imports DXF parts, applies user settings and generates automated two-dimensional nesting layouts and exports.

2. Accounts and free trial

When accounts become available, users must provide accurate information, protect their credentials and promptly report unauthorised access. Email verification may be required. Trial limits and duration shown in the product apply; abuse, circumvention and automated creation of trial accounts are prohibited.

3. DXF ownership and licence

The user retains all ownership rights over uploaded DXF files. Uploading a DXF does not transfer ownership to SOFTNEST. The user grants only the limited right needed to process the file and provide the requested service.

SOFTNEST will not use uploaded files for training AI models, advertising, resale or unrelated analytics unless separate, explicit consent is obtained in the future. Users must have the rights needed to upload and process their files.

4. SOFTNEST intellectual property

The software, interface, algorithms, documentation, branding and related rights remain the property of their respective owner or licensors. These Terms grant only a limited, non-exclusive right to use the service while the applicable plan is active.

5. Automated results and operator verification

SOFTNEST generates nesting results automatically. The user remains responsible for technical verification before production, cutting, CNC machining or any other industrial process. The software is not a substitute for verification by a qualified operator.

Users must verify geometry, units, tolerances, clearances, material constraints, machine compatibility and tool paths. Preview, report or export availability does not guarantee fitness for a specific production process.

6. Subscriptions, renewal and payment

The planned standard price is €21.99 per month, subject to the offer displayed at checkout. Paid subscriptions are intended to renew monthly until cancelled. Cancellation stops future renewal but does not normally refund an already-started period except where required by law. Stripe Checkout or an equivalent hosted provider will process card details; SOFTNEST will not store PAN or CVV. Billing is not yet enabled.

7. Acceptable use

Users must not upload unlawful or infringing content; probe or bypass security; overload, reverse engineer or disrupt the service except where law expressly permits; misuse trials; or use results without appropriate technical checks.

8. Availability and changes

The service may be maintained, improved or temporarily unavailable. Reasonable efforts will be made to preserve core functionality, but uninterrupted availability is not promised. Material changes to these Terms will receive a new version and notice where legally required.

9. Liability and mandatory rights

To the extent permitted by applicable law, SOFTNEST is not responsible for losses caused by unverified output, incorrect inputs, incompatible machinery or use outside documented capabilities. Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded. Any final limitation or cap requires legal review for the actual business and customer type.

10. Suspension, termination and governing law

Access may be suspended for security threats, material breach or non-payment, with notice where appropriate. Users may cancel and request account deletion, subject to legal retention duties. Governing law and competent forum: [APPLICABLE LAW AND JURISDICTION — OWNER/LEGAL REVIEW REQUIRED].
